  • Fidavora works with a host of funding sources – Fidavora calls these Funding Channels.

  • Liaising with Clients, understand their financing requirements, providing guidance on changes needed to the information supplied to Fidavora by the Client and ultimately using Fidavora’s contacts to facilitate the Client’s Funding Request.

  • Submitting a business case to its Funding Channel(s) to obtain the initial approval for financing for the Client (called the LoE & ITs – Letter of Engagement and Indicative Terms).

  • Explaining to Clients the process, timelines and costs involved in the financing process, specific to each Client’s requirements and situation.

  • Assisting Clients with populating the Funding Channel’s data room.

  • Assisting with the due diligence process the Client will need to go through, facilitating this process being completed in a timely manner by liaising with the Client’s and Funding Channel’s teams.

  • Providing feedback (where needed) on the Investment Memorandum produced for the Client by the Funding Channel and which is sent by the Funding Channel to the Lenders/Investors - hopefully to secure Binding Written Offer Terms (and which are supported by a validated data room built between the Funding Channel and Client).

  • Coordinating meetings and communications between the Client, Funding Channel and Lenders/Investors until completion occurs.

About our primary

Funding Channel

The Funding Channel is a boutique corporate finance house, with a panel of over 200 Lenders/Investors it works with to fund projects, along with over 4,000 HNWIs and UHNWIs.

 

It is based in central London, has various offices across several countries, has been in its current form for 9 years and has completed over 5 billion USD of funding across a wide range of sectors and jurisdictions over the past 5 years.

 

It is mandated by many of its Lenders/Investors to carry out most of the due diligence required on the case before the Lenders/Investors agrees to Binding Written Offer Terms. The Funding Channel also produces the LoE & ITs  (after a deal submission from Fidavora to it) once it has received confirmation from Lenders/Investors that they would be prepared to meet the Client’s Funding Request. The Contribution Fee the Funding Channel will charge (as discussed below) goes towards covering the cost of various reports (NOT valuation), AML/KYC, analysis and coordination work that it needs to carry out on behalf of the Lenders/Investors that will fulfil the Funding Request.  

The Funding Channel’s role broadly is to:​

  • Review the submission made by Fidavora to it to fulfil the Funding Request and speak with the Lenders/Investors about their appetite to fulfil the Funding Request.

  • Liaise with Fidavora concerning Fidavora’s submission and to further understand any points needed with regards to the Funding Request.

  • Present the LoE & ITs, backed by the proposed commercial terms that have been obtained from their Lenders/Investors (subject to full due diligence) to fulfil the Funding Request. The Funding Channel does this by taking the Fidavora information submitted to it, putting it into their own system and comparing the details of the Funding Request with the criteria of their Lenders/Investors. This produces a list of potential Lenders/Investors which the Funding Channel knows could fulfil the Funding Request. They will liaise with the Lenders/Investors to obtain the Lenders’/Investors’ indicative commercial terms, which forms part of Schedule 1 within the LoE & ITs. A comprehensive due diligence is carried out on behalf of the Lenders/Investors by the Funding Channel should the Client decide to proceed with signing the LoE & ITs and pay the requisite fees, which are the Funding Channel’s Contribution Fee and Fidavora’s Initial Fee.

  • Should the Client execute the LoE & ITs, the Funding Channel will undertake, with the Client’s and Fidavora’s considerable input, the required due diligence so that Binding Written Offer Terms can hopefully be secured from prospective Lenders/Investors.

  • Provide a dedicated in-house analyst to be the Client’s main point of contact throughout the due diligence process, once the Client has signed the LoE & ITs and paid the requisite fees. Occasionally two analysts are allocated, depending on the complexity of the Funding Request and staffing resources. One of the Funding Channel’s directors will review the case and due diligence process, liaising with Fidavora’s analysts and the Client.

  • Provide a template data room once the LoE & ITs have been signed. This generic data room is in a set format, allowing the Funding Channel’s Lenders/Investors to navigate it with ease. Once populated by the Client, with the assistance of the Fidavora analyst, the Funding Channel’s analyst will commence the first deep review of the data room and then revert with an initial list of questions/points of clarification.

  • Conduct regular meetings with the Client, the Funding Channel’s dedicated analyst and Fidavora to update on progress and discuss any complex aspects of the Funding Request.

  • Undertake a comprehensive compliance/due diligence check on the deal in accordance with Lenders/Investors’ requirements and any of its regulatory duties which includes using third party firms such as Creditsafe; Dunn and Bradshaw; Worldcheck, Valutico and Statista, full KYC/money laundering checks and other aspects of the deal relating to the Funding Request.

  • Draft a presentation/investment proposal (Investment Memorandum or IM) to be presented to Lenders/Investors specifically for the purpose of the Funding Request, which is supported by a comprehensive data room based on documentation verified during the due diligence.

  • Report to the Client on responses to the IM and terms contained in any Binding Written Offer Terms from interested Lenders/Investors.

  • Negotiate on behalf of the Client the final terms of the Binding Written Offer Terms and work with both the Client and Lenders/Investors towards successful completion of the Funding Request.
